The deal is worth over 2.45m (e4m). The Winpac Group has units in Kent, Winschoten in the Netherlands and Achern in Germany.
A spokesman for M-real said that former Hedsorboard UK sales director Keith Wild would be in charge of operations.
The group has a sheeting capacity of 140,000 tonnes a year, and employs 150 people, who will remain with the business.
In 2001 the Winpac Group achieved a turnover of 6.73m.
